Audience Accelerator System Group Training Program Client Agreement
This Client Agreement ("Agreement") is entered into as of the date of registration by and between SL Concepts Solutions LLC, herein referred to as the "Consultant," and the “Client” making the purchase.
1. Program Description:
The Consultant offers an Audience Accelerator System group training program to support clients in achieving their professional goals (the “Program”). The Program may include, but is not limited to, group sessions, one-on-one coaching, digital resources, and other support services as described on the Consultant's website or in promotional materials.
2. Mutual Consulting Effort:
The Client and Consultant acknowledge that all consulting services, including the Program, require active participation from the Client. The Program is designed to facilitate the development and implementation of strategies for achieving the Client's goals, but it only works if Client is engaged and involved. While consulting services requires a joint effort between Client and Consultant, Client acknowledges and agrees that this Agreement does not create a legal partnership, joint venture, or employer-employee relationship.
3. Confidentiality:
Both parties agree to maintain the confidentiality of all conversations and information shared, except as required by law.
4. Intellectual Property and Non-disclosure:
All intellectual property related to Consultant’s Do the Thing business and podcast, including but not limited to the copyrights, trademarks, and trade secrets related to Consultant’s Do the Thing business and podcast (the “DTT IP”), are the sole exclusive property of Consultant. Neither this Agreement, nor Client’s relationship with Consultant, grant Client rights (including but not limited to a license) in the DTT IP. Client assigns to Consultant all rights to content created by Client that is related to the DTT IP. For the sake of clarity, any works Client creates which are derivative of the DTT IP are owned by Consultant.
In addition, Client acknowledges that Client may receive Confidential Information from Consultant in the course of Client’s participation in the Program. “Confidential Information” shall mean all information one party receives from the other which is designated as “Confidential Information” or otherwise reasonably understood to be of a confidential nature, including but not limited to Consultant’s method for Do the Thing Formula. Client will take all reasonable precautions to protect Confidential Information of Consultant, including all precautions Client employs with respect to Client’s confidential materials of a similar nature. Client may not disclose or use Confidential Information except as reasonably necessary to participate in the Program. For the sake of clarity, Client agrees that Client may employ the Do the Thing formula and method to help build Client’s community but may not copy, teach, or sell it as their own for-profit within their communities or offers, without prior written consent from Consultant and a paid licensing agreement in place.
Client may disclose Confidential Information to the extent required by law or court order, provided that Client uses reasonable efforts to limit disclosure and to obtain confidential treatment or a protective order and has notified Consultant, and, to the extent reasonably possible, allowed Consultant to participate in the proceeding. The restrictions and obligations in this paragraph will not apply with respect to any information that Client establishes: (i) is, through no improper action or inaction by Client or Client’s agents, generally available to the public; (ii) was in Client’s possession or known by Client without restriction prior to receipt from Consultant; (iii) was rightfully disclosed to Client by a third-party who was under no obligation of confidentiality to Consultant; or (iv) was independently developed without use of or reference to any Confidential Information by those who have had no access to such information.
This Section 4 shall survive the termination of this Agreement.
5. Commitment and Expectations:
The Client and Consultant agree to engage in the consulting process according to the terms of the purchased consulting package of the Audience Accelerator System. This includes adherence to the timeline of the Program, completion of tasks and action requests by the Consultant, and active participation in scheduled sessions. Client understands and agrees that there are no refunds for the Program, and that the outcome of the Program is dependent upon Client’s participation, effort and attitude.
6. Consulting Session Procedures:
Consulting sessions may be conducted via video conference or via other digital communication platforms as agreed upon. Both parties commit to begin and end sessions on time.
7. Payment and Refund Policy:
The Client agrees to pay for the Program upfront or through a pre-agreed multiple-payment arrangement chosen by the Client via the ThriveCart checkout. All fees are non-refundable, emphasizing the commitment required from the Client to achieve the desired outcomes.
8. Early Termination and Financial Responsibility:
In the event that the Client decides to terminate their participation in the Program prior to the completion of the Program's timeline as specified in the consulting package purchased, the Client will be responsible for the payment of the remaining balance of dues owed for the entire consulting package. This condition is in place to ensure the allocation of resources and planning undertaken by the Consultant in anticipation of the Client's full participation in the program. Client acknowledges and agrees that even if Client does not participate in the entire Program, Client shall pay the remaining balance due for the Program.
The decision to terminate early must be communicated in writing by the Client to the Consultant. Upon termination, the Client remains obligated to pay any outstanding balance within seven (7) days of the termination notice. Failure to settle the remaining balance may result in the initiation of collection procedures and may impact the Client's ability to participate in future programs offered by the Consultant.
This policy is designed to underscore the commitment both parties make towards achieving the Client's goals and acknowledges the significant effort and resources provided by the Consultant to prepare and maintain the highest quality of service throughout the program duration.
9. Dispute Resolution:
In the event of a dispute, both parties agree to seek resolution through good faith mediation for up to 30 days after notice of a dispute is given. If the dispute remains unresolved, the parties may file action pursuant to Section 10, below.
10. Governing Law; Venue; Fees and Costs:
This Agreement will be governed by, and construed in accordance with, the laws of the State of California, without regard to its choice of laws principles. Subject to Section 9, any action related to and/or arising from this Agreement shall take place exclusively in San Diego county, California and the parties hereby submit to such venue. The prevailing party shall be entitled to recover attorney’s fees and court costs.
11. Indemnification and disclaimers:
Consultant does not warrant that the Program will be effective, result in a benefit to Client, or result in a specific outcome. Except as stated in this Agreement, Consultant disclaims all warranties, express and implied, including the warranties of non-infringement, merchantability, and fitness for a particular purpose. Client also acknowledges and agrees that Consultant’s total and cumulative liability for direct damages arising out of or in connection with this Agreement and/or the Program shall not exceed $100. In no event will Consultant be liable for any indirect, incidental, consequential, special and/or punitive damages (including without limitation lost profits) even if Consultant has been advised of the possibility of such damages. Assome jurisdictions do not allow the exclusion of or limitations on implied warranties or the limitations on the applicable statutory rights of a consumer, some or all of the above exclusions and limitations may not apply. Client agrees that, regardless of any statute or law to the contrary, any claim or cause of action Client may have arising out of, or relating to, this Agreement and/or the Program must be brought within one (1) year after such claim or cause of action arises, or forever be barred.
Client shall indemnify, defend and hold harmless Consultant from and against any liabilities, losses, costs, damages, demands and expenses, including reasonable attorneys’ fees (“Claim”), arising out of, and/or relating to (i) the acts and/or omissions of Client; (ii) any allegation that use of the content that Client uses or creates constitutes infringement, violation, trespass, contravention or breach in the United States of any patent, copyright, trademark, license or other property, privacy or proprietary right, or constitutes the unauthorized use or misappropriation of any trade secret; (iii) breach of the terms of this Agreement; and (iv) Client’s violation of the law.
12. Miscellaneous:
This document constitutes the entire agreement between the Client and Consultant regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. All amendments to this Agreement must be in writing.
No waiver of any of the terms of this Agreement will be valid unless in writing and designated as such. Any forbearance or delay on the part of either party in enforcing any of its rights under this Agreement will not be construed as a waiver of such right. If any one or more of the provisions of this Agreement are for any reason held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will be unimpaired and will remain in full force and effect.
The headings and titles of the paragraphs of this Agreement are not part of this Agreement, but are for convenience only and are not intended to define, limit or construe the contents of the provisions contained herein.
